Lecture – “Practical Problems of Shareholder Resolutions”

On 26 November 2018 Franz Pegger will give a lecture on “Practical problems of shareholder resolutions” at the University of Innsbruck  as part of the seminar series “Current problems of private business law”.

The life of partnerships and corporations as well as associations is dominated by their shareholders’ and members’ resolutions.

The range of resolutions extends from management measures within the framework of a list of transactions requiring approval to the appointment of management and representative bodies to the determination of alinear profit distributions.

In practice, the passing of resolutions often poses problems, whether from a formal or material point of view. As a result, the question always arises to what extent decisions are effective, void or contestable and how to proceed.

The approaches to solving these questions are different in the law of partnerships than in that of corporations.

The lecture provides an overview of the problem on the basis of examples.
