The second edition of “Examples for Restructuring”, a book by lawyers Nikola Tröthan and Franz Pegger, will be published on 31.12.2018.
The restructuring of companies is often a problem in business life, frequently coupled with difficult legal issues. The collection of simple examples in the book provides an introduction to this complex legal matter.
Essential fundamentals are addressed from a civil and company law point of view for each of the examples given, and approaches to solutions are pointed out. Selected problems are presented in a simple and practice-oriented manner and the user is sensitised to the subject matter by the use of comments.
In addition to the basic contract models, not only the necessary shareholder resolutions, but also the company register applications necessary for implementation are provided. The samples are also available for download.
